Terms of Service

By accessing or using BearPlex Technologies' website, services, or deliverables ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Services.

BearPlex Technologies provides:
• AI Engineering: Design, development, and deployment of artificial intelligence systems including autonomous agents, RAG pipelines, model fine-tuning, and RLHF alignment.
• Custom Software Development: Full-stack product engineering, enterprise platform development, and infrastructure architecture.
• Consulting & Advisory: Technical audits, architecture reviews, and strategic technology consulting.
• Managed Services: Ongoing maintenance, monitoring, security hardening, and infrastructure management.

Specific service deliverables, timelines, and scope are defined in individual project agreements or statements of work executed between BearPlex and the client.

As a client, you agree to:
• Provide accurate and complete information necessary for service delivery.
• Grant timely access to required systems, accounts, and resources.
• Designate authorized points of contact for project communication.
• Review and provide feedback on deliverables within agreed-upon timelines.
• Comply with all applicable laws and regulations in connection with the use of our Services.
• Maintain the confidentiality of any credentials or access provided to you.

Client IP: Upon full payment, all custom code, designs, and deliverables created specifically for a client engagement are owned by the client, unless otherwise specified in the project agreement.

BearPlex IP: BearPlex retains ownership of all pre-existing tools, frameworks, methodologies, libraries, and general knowledge developed independently or prior to the engagement. This includes reusable components, internal tooling, and proprietary processes.

Open Source: Where open-source software is incorporated into deliverables, such components remain subject to their respective open-source licenses.

Portfolio Rights: BearPlex reserves the right to reference the general nature of work performed (e.g., industry, technology stack) for portfolio and marketing purposes, unless restricted by a non-disclosure agreement.

Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement. Confidential information includes, but is not limited to:
• Business strategies, financial data, and trade secrets.
• Technical architectures, source code, and system designs.
• Customer data, user information, and analytics.
• Terms of project agreements and pricing.

Confidentiality obligations survive the termination of any engagement for a period of 3 years, unless otherwise agreed in writing.

- Payment terms, rates, and schedules are defined in individual project agreements.
• Invoices are due upon receipt unless otherwise specified.
• Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
• BearPlex reserves the right to suspend services for accounts with overdue balances exceeding 30 days.
• All fees are exclusive of applicable taxes, which are the responsibility of the client.

To the maximum extent permitted by applicable law:
• BearPlex's total cumulative liability for any claims arising from or related to the Services shall not exceed the total fees paid by the client in the 12 months preceding the claim.
• BearPlex shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
• BearPlex is not liable for delays or failures in performance resulting from causes beyond reasonable control, including but not limited to natural disasters, acts of government, internet outages, or third-party service failures.

These limitations apply regardless of the legal theory upon which the claim is based.

BearPlex warrants that Services will be performed in a professional and workmanlike manner consistent with industry standards.

Except as expressly stated herein, Services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

BearPlex does not warrant that deliverables will be error-free or that they will meet all client requirements beyond the agreed scope.

- Either party may terminate an engagement with 30 days' written notice, unless otherwise specified in the project agreement.
• BearPlex may terminate immediately if the client breaches these Terms or any project agreement and fails to cure such breach within 15 days of written notice.
• Upon termination, the client shall pay for all Services rendered through the termination date.
• Sections regarding Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which BearPlex Technologies operates, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation, and if necessary, binding arbitration in accordance with the rules of the applicable arbitration body.

BearPlex reserves the right to modify these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use of the Services after any changes constitutes acceptance of the updated Terms. For active engagements, material changes to these Terms will be communicated directly to affected clients.
