Legal Counsel, Commercial Contracts

The Role

BearPlex builds production systems for regulated enterprises, and every one of those relationships rests on a contract that has to be precise about scope, IP, data, and liability. Getting those terms right protects both the company and the clients who trust us with their systems.

This is a part-time commercial contracts position for an experienced US attorney. You will draft, review, and negotiate the agreements that govern our enterprise engagements, MSAs, SOWs, SaaS terms, and data protection clauses, working closely with leadership and delivery teams to keep deals moving without compromising on the terms that matter.

What You Will Do

  • Draft and negotiate core agreements. Own master services agreements, statements of work, and SaaS contracts from first draft through signature.

  • Review inbound paper. Mark up enterprise client agreements, redlines, and procurement terms, and flag the risks that need a business decision.

  • Protect IP and licensing. Structure intellectual property ownership, license grants, and work-product terms that fit a build-grade software firm.

  • Advise on data protection. Draft and negotiate data protection, privacy, and security provisions aligned to GDPR, CCPA, and client compliance regimes.

  • Build the template library. Create and maintain clean, reusable contract templates and playbooks so common deals close faster and more consistently.

  • Partner with the business. Give leadership and delivery teams clear, practical guidance on risk, liability, and acceptable positions.

What We Are Looking For

  • Licensed US attorney. You hold a JD and active bar membership in a US jurisdiction and are in good standing.

  • Commercial contracts depth. You have substantial experience drafting and negotiating MSAs, SOWs, and SaaS agreements for technology companies.

  • IP and licensing command. You are fluent in software IP, ownership, and licensing terms and the issues that arise in custom build engagements.

  • Data protection knowledge. You understand US and international data privacy law, including GDPR and CCPA, and how it lands in contract terms.

  • Enterprise negotiation experience. You have negotiated directly with enterprise procurement and legal teams and held firm on the terms that matter.

  • Pragmatic and clear. You give business-aware advice, translate legal risk into plain language, and help deals close rather than stall.

Nice to Have

  • In-house experience. Time spent in-house at a software, SaaS, or services company.

  • AI and emerging-tech exposure. Familiarity with contracting issues specific to AI, model licensing, and data usage rights.

  • Regulated-industry familiarity. Experience with clients in finance, healthcare, or government and their compliance demands.

  • International contracting. Comfort with cross-border agreements given our Austin, Lahore, and Doha footprint.
